What is a PPM or Private Placement Memorandum?


A Private Placement Memorandum or PPM is a legal document, which outlines the terms of your investment deal including the securities that you are offering. Private placement, also known as “non-public offering” is a funding round of securities, which are sold without an preliminary public offering, typically to a small number of preferred private investors.  In the United States, these placements are subject to the Securities Act of 1933. The very first stage that most companies take when pursuing private capital, is the creation of a business plan. While business plans are a vital facet of raising capital, they are not designed to be venture documents that facilitate the transaction of securities.
